1. Agreement and eligibility

These Terms govern your access to ScalarQuant's website, beta application, market information, portfolio tools, AI-assisted research, subscriptions, and related services (the “Service”). By using the Service, creating an account, or purchasing a subscription, you agree to these Terms and the Privacy Policy.

You must be at least 18 and legally able to enter a binding agreement. If you use the Service for an organization, you represent that you have authority to bind it. Do not use the Service where doing so is prohibited by law.

2. Beta service and changes

ScalarQuant is an early beta under active development. Features, data sources, limits, prices, calculations, interfaces, and availability may change. The Service may contain defects, experience interruptions, lose compatibility, or produce incomplete, delayed, unavailable, or incorrect results.

We may add, change, suspend, or discontinue a feature when reasonably necessary for development, security, provider availability, legal compliance, or business operations. When a material change affects a paid subscription, we will provide notice or remedies required by applicable law.

3. Research tool; no investment advice

ScalarQuant provides general information, calculations, organizational tools, and educational research. It is not a broker-dealer, investment adviser, fiduciary, exchange, bank, tax adviser, law firm, or accounting firm. Nothing in the Service is personalized investment, financial, legal, accounting, or tax advice, or a recommendation, solicitation, guarantee, or offer to buy or sell a security.

  • Do not use ScalarQuant as the sole basis for a trade, investment, or other financial decision.
  • Independently verify prices, filings, calculations, source citations, corporate actions, and other material information.
  • Consider your objectives, financial circumstances, time horizon, liquidity needs, and risk tolerance, and consult a qualified professional when appropriate.
  • Investing can result in partial or total loss. Past performance, scores, backtests, simulated results, and historical relationships do not guarantee future results.

You remain solely responsible for your decisions, orders, taxes, records, and compliance obligations. ScalarQuant does not execute trades, connect to brokerage accounts, hold assets, or monitor positions for urgent action.

4. AI-assisted features

Some features use OpenAI models to extract, organize, summarize, and interpret information. AI output is probabilistic and may hallucinate, omit context, misread a source, use stale information, or state an inference too confidently. A citation shows the source used; it does not prove that the output is complete or correct.

ScalarQuant applies structured-output validation and supplies backend-computed financial metrics, but those safeguards cannot eliminate error. Review the underlying source and authoritative filings before relying on any AI-assisted result. Do not submit secrets, brokerage credentials, regulated data, or content you lack permission to process.

5. Market data and third-party content

Market prices, company information, filings, news, macroeconomic data, and other content may come from Financial Modeling Prep, SEC EDGAR, Yahoo Finance RSS, FRED, publishers, and other public or commercial sources. Data may be delayed, adjusted, estimated, incomplete, inaccurate, unavailable, or subject to provider restrictions.

Displayed prices are not executable quotes. Charts, scores, ratios, peer comparisons, portfolio values, cash balances, sale proceeds, and gains depend on the information you enter, available inputs, and stated methodologies. Corporate actions, currency effects, taxes, fees, dividends, timing, and missing data can make displayed results differ from brokerage or official records.

6. Accounts and guest sessions

Visitors may browse using an automatically created anonymous Supabase session. Guest data can be lost if the browser session, storage, or anonymous credentials are cleared. A permanent email or Google account is required for AI features, cross-device persistence, and subscriptions. A prompted migration may copy eligible guest watchlist, portfolio, and cash-balance entries into a permanent account.

You are responsible for accurate account information, the security of your email and device, and activity under your session. Notify us promptly of suspected unauthorized access. We may restrict or suspend access to protect users, providers, or the Service.

7. Your content and permissions

You retain ownership of portfolio entries, watchlists, notes, source text, feedback, and other content you submit. You grant ScalarQuant a limited, nonexclusive license to host, copy, process, transmit, and display that content only as needed to operate, secure, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have the rights and authority needed to submit the content. You must not submit unlawful content, another person's confidential or personal information without authority, material nonpublic securities information, malware, or content that infringes intellectual-property or privacy rights.

8. Acceptable use

  • Do not access another user’s account or data, defeat authentication, probe vulnerabilities without written authorization, or interfere with security controls.
  • Do not overload, scrape, crawl, copy, resell, sublicense, or systematically extract the Service or provider data except through an expressly permitted interface.
  • Do not bypass quotas, rate limits, geographic or consent controls, subscription entitlements, or provider licensing restrictions.
  • Do not reverse engineer, disrupt, introduce malicious code, impersonate another person, misrepresent AI output, or use the Service for fraud, market manipulation, or unlawful activity.
  • Do not use automated output as a substitute for legally required human review in a high-impact decision about another person.

9. Free and Plus plans

Signed-in free accounts currently receive three successful AI analyses per calendar month. ScalarQuant Plus is currently displayed at $10 USD per month and provides up to 100 successful AI analyses per calendar month. Separate abuse-prevention and rate limits may apply. Failed or degraded analyses are handled according to the usage logic shown in the product.

Current plan details are shown before checkout and in the account screen. We may change future prices or plan limits with notice required by law. Changes will not retroactively alter charges already paid. Taxes, currency conversion, and payment-provider terms may apply.

10. Billing, renewal, cancellation, and refunds

Stripe processes subscription checkout and payment information. Paid subscriptions renew automatically at the interval and price shown at checkout until canceled. You may manage or cancel through the Stripe customer portal available from your ScalarQuant profile. The portal shows the effective cancellation date and current billing status.

Fees, refund eligibility, and billing corrections are governed by the checkout disclosures, Stripe records, these Terms, and applicable law. Except where applicable law or an express checkout term requires otherwise, previously charged subscription periods are not automatically refunded because you did not use the Service. Contact [email protected] promptly about a duplicate, unauthorized, or incorrect charge. Canceling does not erase your account or saved research data.

11. Advertising

Guest and signed-in free experiences may display Google AdSense advertising when advertising is enabled. Ads may be personalized, non-personalized, or limited based on location, consent, opt-out status, and availability. Plus is ad-free within ScalarQuant's controlled placements. Third-party advertisers are responsible for their advertisements, products, and destination sites.

12. Intellectual property and feedback

ScalarQuant and its licensors retain rights in the Service, software, design, branding, methodologies, and provider content, excluding your content. These Terms grant only a limited, revocable, nontransferable right to use the Service for lawful personal research. Third-party content remains subject to its owner's rights and terms.

If you submit feedback or feature suggestions, you permit us to use them without restriction or compensation, while we continue to handle personal information under the Privacy Policy.

13. Privacy

The Privacy Policy explains what information we process, why, with whom, for how long, and what choices may apply. It includes specific disclosures about anonymous sessions, OpenAI, Stripe, Google AdSense, Supabase, Render, market-data providers, and state privacy rights.

14. Availability and support

We do not promise continuous, secure, or error-free operation, preservation of every guest record, compatibility with every device, or availability of a particular provider or security. Maintenance, provider failures, rate limits, market closures, and events outside our control may interrupt the Service. Support is provided on a reasonable-efforts basis through [email protected].

15. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” ScalarQuant disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, quiet enjoyment, and warranties arising from course of dealing. We do not warrant any investment outcome, data accuracy, AI result, source availability, or uninterrupted operation.

Some jurisdictions do not allow particular warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law and do not limit nonwaivable consumer rights.

16. Limitation of liability

To the maximum extent permitted by law, ScalarQuant and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, opportunities, data, goodwill, or trading losses; or decisions made using the Service, even if advised that such harm was possible.

To the maximum extent permitted by law, ScalarQuant's aggregate liability arising from the Service will not exceed the greater of $100 USD or the amount you paid ScalarQuant during the 12 months before the event giving rise to the claim. This limitation does not apply where prohibited, or to liability that cannot legally be limited.

17. Indemnity

To the extent permitted by law, you will defend and indemnify ScalarQuant from third-party claims, losses, and reasonable costs arising from your unlawful use of the Service, content you submit, infringement of another person's rights, or material violation of these Terms. This obligation does not apply to the extent a claim results from ScalarQuant's own unlawful conduct.

18. Suspension and termination

You may stop using the Service and cancel a paid subscription at any time. Contact [email protected] to request account or data deletion; automated account deletion is not currently available. We may suspend or terminate access for a material breach, fraud, abuse, security risk, legal requirement, nonpayment, or conduct that threatens users, providers, or the Service. Where practical and lawful, we will provide notice and an opportunity to address the issue.

Sections that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, dispute provisions, and lawful retention—will survive.

19. Governing law and disputes

These Terms are governed by Rhode Island law, without regard to conflict-of-law principles, except that applicable federal law and nonwaivable consumer protections continue to apply. Before filing a claim, please send a description to [email protected] so both sides can try in good faith to resolve it informally.

Subject to any nonwaivable right to bring a claim elsewhere, disputes may be brought in the state or federal courts serving Rhode Island. These Terms do not require arbitration and do not waive any class-action right that cannot be waived by agreement.

20. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not transfer these Terms without consent; we may transfer them with the business or Service subject to applicable law. These Terms, the Privacy Policy, and checkout disclosures form the agreement concerning the Service.

21. Changes and contact

We may update these Terms as the Service changes. We will revise the last-updated date and provide additional notice for material changes when required. Continued use after an effective update constitutes acceptance where permitted; when law requires affirmative consent, we will request it.
